01 Introduction
Arthvriksh Digital Solutions Pvt. Ltd. (hereinafter referred to as "Cashmo", "Company",
"We", "Us", or "Our") provides authorized third-party entities with access to its platform,
services, and technology infrastructure through a structured Application Programming
Interface (API) integration framework.
This API Partner Policy ("Policy") governs the terms, conditions, obligations, and
responsibilities applicable to all entities (hereinafter referred to as "API Partner",
"Partner", or "You") that access, integrate with, or use Cashmo's APIs, SDKs, technical
documentation, and associated services (collectively referred to as "Cashmo API Services")
for the purpose of delivering financial or technology services to their own end users.
This Policy has been formulated in accordance with:
- Information Technology Act, 2000 and rules thereunder
- Payment and Settlement Systems Act, 2007
- Reserve Bank of India (RBI) Guidelines on Payment Aggregators and Payment
Gateways
- Prevention of Money Laundering Act, 2002 (PMLA)
- RBI Master Direction on KYC, 2016
- Indian Contract Act, 1872
- Competition Act, 2002
- All applicable circulars, notifications, and directions issued by RBI, NPCI, and other
competent authorities
Access to and use of Cashmo API Services constitutes Your unconditional acceptance
of this Policy in its entirety. If You do not agree to any provision of this Policy, You
must immediately cease accessing Cashmo API Services.

03 ELIGIBILITY FOR API PARTNERSHIP
1. Eligibility Criteria
To be eligible for API partnership with Cashmo, an applicant must
satisfy all of the following conditions:
- Must be a legally incorporated entity registered under the laws of India with a valid
Certificate of Incorporation.
- Must possess all applicable licenses, registrations, and approvals required to offer
financial or technology services in India including but not limited to RBI
authorizations where applicable.
- Must have a valid GST registration.
- Must have a functional and secure technology infrastructure capable of meeting Cashmo's
integration requirements.
- Must have adequate data security measures in place compliant with applicable Indian
laws.
- Must have adequate data security measures in place compliant with applicable Indian

- Must not have been previously terminated as a Cashmo API Partner for policy violations.
- Must be able to demonstrate a legitimate business purpose for accessing Cashmo API
Services.
2. Application Process
- Interested entities must submit a formal API partnership application to Cashmo at
partners@cashmo.in with the following documents:
- Certificate of Incorporation
- PAN Card of the entity
- GST Registration Certificate
- Applicable RBI / regulatory licenses
- Details of the proposed use case and integration purpose
- Technical architecture overview
- Data security policy and certifications
- KYC documents of directors and beneficial owners
- Cashmo shall review the application and conduct due diligence on the applicant.
- Cashmo reserves the right to approve or reject any application at its sole discretion
without assigning reasons.
- Approved applicants shall be required to execute a formal API Partner
Agreement with Cashmo before access to API Services is granted.
04 API PARTNER AGREEMENT
- All API Partners must execute a formal API Partner Agreement with
Cashmo prior to receiving API credentials and access.
- The API Partner Agreement shall contain specific terms relating to:
- Scope of authorized services and use cases.
- Commercial terms including revenue sharing, fees, and payment schedules.
- Service Level Agreements (SLAs) for API availability and performance.
- Data sharing and data protection obligations.
- Compliance and regulatory obligations.
- Audit rights and reporting requirements.
- Termination and exit provisions.
- In the event of any conflict between this Policy and the API Partner Agreement, the
API Partner Agreement shall prevail to the extent of such conflict.
- This Policy shall apply to all matters not specifically addressed in the API Partner
Agreement.
05 API ACCESS AND CREDENTIALS
1. Issuance of API Credentials
- Upon execution of the API Partner Agreement and completion of all onboarding
requirements, Cashmo shall issue the following to the API Partner:
- Unique API Key
- Secret Token for request authentication
- Access to Sandbox Environment for testing
- API Documentation and technical specifications
- API credentials are issued exclusively for the use of the API Partner and the specific
integration purpose stated in the API Partner Agreement.
2. Security of API Credentials
- The API Partner is solely responsible for the security of all API credentials issued by
Cashmo.
- API credentials must be stored securely and must never be:
- Hardcoded in publicly accessible source code.
- Shared with unauthorized third parties.
- Embedded in client-side applications where they may be exposed.
- Published on public repositories, forums, or documentation.
- All API calls must be made exclusively from registwhitelisted IP
addressesered with Cashmo at the time of onboarding.
- API credentials must be transmitted exclusively over HTTPS / TLS encrypted
connections. Transmission over unencrypted channels is strictly prohibited.
- In the event of actual or suspected compromise of API credentials, the API Partner must
notify Cashmo immediately at security@cashmo.in and request credential
rotation.
- Cashmo shall not be liable for any unauthorized transactions or data breaches resulting
from the API Partner's failure to secure API credentials.
3. Sandbox Testing
- All API integrations must be developed and thoroughly tested in the Sandbox
Environment prior to deployment to the Production Environment.
- The Sandbox Environment is provided solely for testing purposes. No real transactions or
real customer data shall be used in the Sandbox Environment.
- Cashmo shall not be liable for any loss or damage arising from the use of the Sandbox
Environment.
- Production access shall be granted only after successful completion of Cashmo's
technical review and certification of the API Partner's integration.
4. Production Deployment
- Migration from Sandbox to Production Environment requires formal written approval from
Cashmo's technical team.
- The API Partner must demonstrate successful completion of all test cases specified by
Cashmo prior to production approval.
- Any material change to the API Partner's integration after production deployment must be
re-tested in the Sandbox Environment and re-approved before deployment.
06 AUTHORIZED USE OF CASHMO API SERVICES
1. Permitted Use
API Partners are authorized to use Cashmo API Services exclusively for:
- The specific services and use cases expressly authorized in the API Partner Agreement.
- Facilitating transactions for their registered End Users in accordance with applicable
law.
- Integrating Cashmo services into the API Partner's own platform or application for
delivery to End Users.
2. Prohibited Use
API Partners shall not, under any circumstances:
- Use Cashmo API Services for any purpose not expressly authorized in the API Partner
Agreement.
- Sub-license, resell, redistribute, or grant access to Cashmo API Services to any
unauthorized third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of
Cashmo's API or underlying technology.
- Modify, adapt, or create derivative works based on Cashmo's API, SDK, or technical
documentation without prior written consent.
- Use Cashmo API Services to process transactions for services or products that are:
- Illegal under Indian law.
- Related to gambling, betting, or wagering.
- Related to narcotics, controlled substances, or arms.
- Pornographic or obscene in nature.
- Connected to money laundering or terrorist financing.
- In violation of any RBI, NPCI, or regulatory guidelines.
- Conduct load testing, stress testing, or penetration testing on Cashmo's production
infrastructure without prior written authorization.
- Use Cashmo's name, logo, trademarks, or branding without prior written consent.
- Make any false, misleading, or unauthorized representations about Cashmo or its services
to End Users or any third party.
- Circumvent or attempt to circumvent any rate limits, access controls, security measures,
or authentication mechanisms implemented by Cashmo.
- Use Cashmo API Services in a manner that disrupts, degrades, or impairs the performance
of the Platform for other users.
07 API PARTNER OBLIGATIONS
1. Legal and Regulatory Compliance
- The API Partner shall at all times maintain all licenses, registrations, and approvals
required to legally operate its business and offer services to End Users.
- The API Partner shall ensure full compliance with all applicable Indian laws and
regulations including but not limited to:
- Payment and Settlement Systems Act, 2007
- Prevention of Money Laundering Act, 2002
- RBI KYC Master Direction, 2016
- Information Technology Act, 2000
- Consumer Protection Act, 2019
- Data protection and privacy laws
- The API Partner shall promptly notify Cashmo of any regulatory action, license
suspension, or adverse order received from any competent authority that may affect its
ability to use Cashmo API Services.
2. KYC and AML Obligations
- The API Partner is solely responsible for conducting adequate KYC verification of all
its End Users in accordance with applicable RBI KYC guidelines and PMLA requirements.
- The API Partner shall implement its own AML policies and transaction monitoring systems
for End User transactions.
- The API Partner shall not knowingly onboard or facilitate transactions for End Users who
are
- On any sanctions list or designated terrorist list.
- Engaged in money laundering, terrorist financing, or any financial crime.
- Prohibited from accessing financial services under applicable law.
- The API Partner shall promptly share KYC and transaction information with Cashmo upon
request for regulatory compliance or investigation purposes.
- The API Partner shall independently file all required regulatory reports including STRs
with FIU-IND in respect of suspicious activity detected on its platform.
3. End User Management
- The API Partner shall be solely responsible for the conduct and activities of its End
Users on the Cashmo Platform accessed through the API.
- The API Partner shall maintain and enforce its own terms and conditions and privacy
policy with End Users that are compliant with applicable law.
- The API Partner shall ensure that End Users are clearly informed that certain services
are powered by Cashmo and are subject to Cashmo's service availability and policies.
- The API Partner shall handle all End User grievances, complaints, and disputes at its
own level before escalating to Cashmo.
- The API Partner shall not make any commitments or representations to End Users regarding
Cashmo's service levels, refund policies, or operational capabilities beyond what Cashmo
has expressly authorized.
4. Technical Obligations
- The API Partner shall integrate Cashmo API Services strictly in accordance with Cashmo's
published API Documentation and technical specifications.
- The API Partner shall maintain its integration and keep it updated in accordance with
Cashmo's versioning and deprecation schedules.
- The API Partner shall implement proper error handling to manage failed API calls,
timeouts, and exceptions without causing adverse impact on End Users.
- The API Partner shall implement transaction idempotency to prevent duplicate transaction
processing.
- The API Partner shall ensure that its systems have adequate capacity and resilience to
handle expected transaction volumes without placing undue load on Cashmo's
infrastructure.
- The API Partner shall conduct regular security audits and vulnerability assessments of
its integration and promptly remediate identified vulnerabilities.
5. Reporting Obligations
- The API Partner shall submit periodic transaction and performance reports to Cashmo in
the format and frequency specified in the API Partner Agreement.
- The API Partner shall immediately report to Cashmo any:
- Security breach or suspected compromise of API credentials.
- Unusual spike in transaction volumes or error rates.
- Suspected fraudulent or suspicious activity detected on its platform.
- Technical failure affecting Cashmo API Service delivery to End Users.
- Regulatory inquiry or investigation that involves Cashmo API Services.
08 DATA PROTECTION AND CONFIDENTIALITY
1. Data Handling
- All personal data, financial data, and transaction data accessed or processed by the API
Partner through Cashmo API Services shall be treated as strictly confidential.
- The API Partner shall process such data solely for the purpose of delivering the
authorized services and for no other purpose.
- The API Partner shall implement industry-standard data security measures including:
- End-to-end encryption for all data in transit using TLS 1.2 or higher.
- Encryption of sensitive data at rest.
- Role-based access controls limiting data access to authorized personnel only.
- Regular security audits and penetration testing.
- Incident response procedures for data breaches.
- The API Partner shall store all data processed through Cashmo API Services
within the territory of India in compliance with applicable data
localization requirements.
2. Data Breach Notification
- In the event of any actual or suspected data breach involving data processed through
Cashmo API Services, the API Partner shall:
- Notify Cashmo immediately and in no event later than **4 hours** of becoming
aware of the breach.
- Provide full details of the nature, scope, and impact of the breach.
- Implement containment measures immediately.
- Cooperate fully with Cashmo's investigation and response.
- Notify affected End Users and regulatory authorities as required by law.
- The API Partner shall bear full liability for any data breach arising from its own
systems, negligence, or failure to implement adequate security measures.
3. Confidentiality
- The API Partner acknowledges that all Cashmo API Documentation, technical
specifications, pricing, business information, and proprietary technology constitute
Confidential Information of Cashmo.
- The API Partner shall:
- Keep all Confidential Information strictly confidential.
- Not disclose Confidential Information to any third party without Cashmo's prior
written consent.
- Use Confidential Information solely for the purpose of the authorized API
integration.
- Limit access to Confidential Information to employees who have a strict need to
know for the purpose of the integration.
- Confidentiality obligations shall survive the termination or expiry of the API Partner
Agreement and this Policy for a period of 5 years.
- The following information shall not be considered Confidential Information:
- Information that is already in the public domain through no breach by the API
Partner.
- Information that the API Partner can demonstrate was independently developed
without reference to Cashmo's Confidential Information.
- Information that the API Partner received from a third party who was legally
entitled to disclose it.
- Information that is required to be disclosed by law or a competent court order,
provided Cashmo is given prior written notice of such disclosure.
09 INTELLECTUAL PROPERTY
1. Cashmo's Intellectual Property
- All intellectual property rights in Cashmo's API, SDK, API Documentation, technology,
trademarks, logos, trade names, and all associated materials are and shall remain the
exclusive property of Arthvriksh Digital Solutions Pvt. Ltd.
- Nothing in this Policy or the API Partner Agreement shall be construed as transferring,
assigning, or granting any ownership rights in Cashmo's intellectual property to the API
Partner.
- The API Partner is granted a limited, non-exclusive, non-transferable,
revocable license to use Cashmo's API and API Documentation solely for the
purpose of the authorized integration during the term of the API Partner Agreement.
- Upon termination of the API Partner Agreement, this license shall immediately cease and
the API Partner shall:
- Immediately cease all use of Cashmo's API and API Documentation.
- Delete or return all copies of Cashmo's Confidential Information and API
Documentation in its possession.
- Confirm compliance with the above in writing to Cashmo within 7
days of termination.
2. API Partner's Intellectual Property
- Cashmo acknowledges that all intellectual property rights in the API Partner's own
platform, application, and technology remain the exclusive property of the API Partner.
- Nothing in this Policy shall be construed as granting Cashmo any rights over the API
Partner's own intellectual property.
3. Feedback and Improvements
- If the API Partner provides any suggestions, feedback, or recommendations regarding
Cashmo's API Services, such feedback shall become the property of Cashmo.
- Cashmo shall have the right to use, implement, or commercialize such feedback without
any obligation or compensation to the API Partner.
10 FEES AND COMMERCIAL TERMS
- The commercial terms applicable to the API partnership including API access fees,
transaction fees, revenue sharing arrangements, and payment schedules shall be
exclusively governed by the API Partner Agreement executed between the
parties.
- Cashmo reserves the right to revise its fee structure upon providing the API Partner
with a minimum of 30 days' written notice prior to the effective date
of the revision.
- All fees shall be exclusive of applicable taxes including GST and other statutory levies
which shall be borne by the API Partner.
- Delayed payments shall attract interest at the rate specified in the API Partner
Agreement from the due date until the date of actual payment.
- Cashmo reserves the right to suspend API access in the event of non-payment of dues
beyond the agreed credit period, without prejudice to any other remedy available to
Cashmo.
- All invoices raised by Cashmo shall be GST-compliant and shall be paid within the
timelines specified in the API Partner Agreement.
11 SERVICE LEVELS AND AVAILABILITY
1. API Availability
- Cashmo shall endeavor to maintain Cashmo API Services with a target uptime of
99.5% measured on a monthly basis, excluding scheduled maintenance
windows.
- Scheduled maintenance shall be communicated to API Partners with a minimum of 24
hours' prior notice via email or API dashboard notification.
- Emergency maintenance may be conducted without prior notice where required to address
critical security threats or system failures.
2. Rate Limits
- Cashmo shall impose API rate limits on each API Partner to ensure fair and stable
platform performance for all Partners.
- Rate limits applicable to the API Partner shall be specified in the API Partner
Agreement or the API Documentation.
- Exceeding rate limits may result in temporary throttling of API access without liability
to Cashmo.
- API Partners requiring higher rate limits may submit a formal request to Cashmo for
review and approval.
3. API Versioning
- Cashmo shall maintain versioned releases of its API.
- API Partners shall be notified of new API versions and any deprecation of existing
versions with a minimum notice period of 60 days before an existing
version is retired.
- API Partners are responsible for migrating to updated API versions within the notified
timeframe.
- Cashmo shall not be liable for any disruption to the API Partner's services resulting
from failure to migrate to a new API version within the stipulated notice period.
4. Support
- Cashmo shall provide technical support to API Partners through the following channels:

- Support shall be available during Monday to Saturday — 9:00 AM to 6:00 PM
IST excluding public holidays.
- Critical production issues shall be addressed on a priority basis with an initial
response within 4 working hours.
12 LIABILITY AND INDEMNIFICATION
1. Limitation of Cashmo's Liability
- Cashmo's liability to the API Partner in respect of any claim arising from or in
connection with Cashmo API Services shall be strictly limited to the fees paid
by the API Partner to Cashmo in the 3 months immediately preceding the event giving
rise to the claim.
- Cashmo shall not be liable for:
- Any indirect, consequential, incidental, special, or punitive damages.
- Loss of revenue, profit, business, or data.
- Service disruptions caused by third-party infrastructure providers.
- Force Majeure events.
- Failures attributable to the API Partner's own systems or integration.
- Unauthorized use of API credentials due to API Partner's failure to maintain
security.
- Cashmo makes no warranty that Cashmo API Services will be error-free, uninterrupted, or
fit for any particular purpose beyond what is expressly stated in the API Partner
Agreement.
2. Indemnification by API Partner
The API Partner agrees to fully indemnify, defend, and hold harmless Cashmo, its directors,
officers, employees, agents, and representatives from and against all claims, damages,
losses, fines, penalties, and legal expenses arising from:
- Breach of any provision of this Policy or the API Partner Agreement.
- Violation of any applicable law or regulation by the API Partner.
- Any claim by an End User arising from the API Partner's platform, conduct, or services.
- Unauthorized use of Cashmo's intellectual property, trademarks, or branding.
- Data breach or security incident attributable to the API Partner's systems or
negligence.
- False, misleading, or unauthorized representations made to End Users or third parties.
- Failure to conduct adequate KYC or AML compliance for End Users.
- Any regulatory action, fine, or penalty imposed on Cashmo due to the API Partner's
non-compliance.
13 AUDIT RIGHTS
- Cashmo reserves the right to audit the API Partner's systems, processes, integration,
and records to verify compliance with this Policy and the API Partner Agreement.
- Audits may be conducted:
- Annually as a matter of routine.
- At any time upon reasonable suspicion of non-compliance.
- Upon direction from a regulatory authority.
- Cashmo shall provide the API Partner with a minimum of 5 business days' written
notice before conducting a scheduled audit.
- The API Partner shall cooperate fully with all audit activities and provide Cashmo with
reasonable access to its systems, personnel, and records.
- Audit costs shall be borne by Cashmo unless the audit reveals material non-compliance by
the API Partner, in which case reasonable audit costs shall be borne by the API Partner.
- Audit findings shall be treated as Confidential Information by both parties..
14 TERM AND TERMINATION
1. Term
- This Policy shall remain in force for the duration of the API Partner Agreement and any
renewals thereof.
- The initial term and renewal terms of the API Partnership shall be as specified in the
API Partner Agreement.
2. Termination for Convenience
- Either party may terminate the API Partnership for convenience by providing a minimum of
30 days' written notice to the other party.
- During the notice period, both parties shall continue to fulfill their obligations under
this Policy and the API Partner Agreement.
3. Termination for Cause
Cashmo may terminate the API Partnership immediately and without prior
notice upon occurrence of any of the following:
- Material breach of this Policy or the API Partner Agreement by the API Partner.
- Violation of applicable law or regulatory guidelines by the API Partner.
- Suspension, cancellation, or revocation of any license or regulatory approval required
by the API Partner to operate.
- Insolvency, bankruptcy, or winding up proceedings initiated against the API Partner.
- Detection of fraudulent, money laundering, or terrorist financing activity in the API
Partner's operations.
- Unauthorized sharing or compromise of API credentials.
- Direction from RBI, NPCI, FIU-IND, law enforcement, or any other competent authority
requiring termination.
- Any action by the API Partner that exposes Cashmo to significant legal, regulatory,
financial, or reputational risk.
4. Consequences of Termination
Upon termination of the API Partnership for any reason:
- All API credentials shall be immediately revoked and access to Cashmo API Services shall
cease.
- The API Partner shall immediately cease all use of Cashmo API Services, Confidential
Information, and intellectual property.
- All pending transactions that were initiated prior to termination shall be processed to
completion in accordance with Cashmo's operational procedures.
- All outstanding financial obligations between the parties shall be settled within
30 days of the effective date of termination.
- The API Partner shall delete or return all Cashmo Confidential Information in its
possession and confirm the same in writing within 7 days of
termination.
- Provisions of this Policy that by their nature are intended to survive termination —
including confidentiality, intellectual property, indemnification, liability, and
governing law — shall continue in full force and effect.
15 FORCE MAJEURE
- Neither party shall be liable for any failure or delay in performance of its obligations
under this Policy due to a Force Majeure event.
- Force Majeure events include but are not limited to: natural disasters, acts of war,
civil unrest, epidemics or pandemics, government orders or sanctions, cyberattacks on
critical national infrastructure, NPCI or banking system failures, or any other event
beyond the reasonable control of the affected party.
- The party affected by a Force Majeure event shall notify the other party promptly and in
writing of the nature and expected duration of the event.
- If a Force Majeure event continues for a period exceeding 30 consecutive
days, either party may terminate the API Partnership upon written notice
without liability.
16 AMENDMENTS TO THIS POLICY
- Cashmo reserves the right to amend, update, or revise this API Partner Policy at any
time to reflect changes in applicable law, regulatory requirements, or business
practices.
- Material amendments shall be communicated to API Partners via registered email with a
minimum of 30 days' notice prior to the effective date.
- The updated Policy shall be published on the Cashmo Developer Portal with a revised
effective date and version number.
- Continued use of Cashmo API Services after the effective date of any amendment shall
constitute the API Partner's acceptance of the revised Policy.
- If an API Partner does not accept the revised Policy, it must notify Cashmo in writing
and cease using Cashmo API Services before the effective date of the revision.
17 GOVERNING LAW AND DISPUTE RESOLUTION
1. Governing Law
This Policy shall be governed by and construed in accordance with the
laws of India including:
- Indian Contract Act, 1872
- Information Technology Act, 2000
- Payment and Settlement Systems Act, 2007
- Prevention of Money Laundering Act, 2002
- Competition Act, 2002
- Any other applicable Indian law or regulation
2. Dispute Resolution
- In the event of any dispute arising from or in connection with this Policy or the API
Partner Agreement, the parties shall first attempt resolution through good faith
negotiation within 30 days of written notice of the dispute.
- If the dispute is not resolved through negotiation within 30 days, it shall be referred
to a sole arbitrator mutually appointed by both parties under the Arbitration
and Conciliation Act, 1996.
- The seat and venue of arbitration shall be Biswan, Sitapur, Uttar Pradesh,
India.
- The language of arbitration shall be English.
- The arbitrator's award shall be final and binding on both parties.
3. Jurisdiction
Subject to the arbitration clause above, the courts at Biswan,
Sitapur, Uttar Pradesh, India shall have exclusive jurisdiction over any
dispute arising from this Policy.
18 GENERAL PROVISIONS
1. Entire Agreement
This Policy, read together with the API Partner Agreement executed
between the parties, constitutes the entire agreement between Cashmo and the API Partner
with respect to Cashmo API Services and supersedes all prior negotiations, representations,
and agreements.
2. Severability
If any provision of this Policy is held to be invalid, illegal, or unenforceable by a court
of competent jurisdiction, such provision shall be severed and the remaining provisions
shall continue in full force and effect.
3. Waiver
Failure by Cashmo to enforce any right or provision under this Policy
on any occasion shall not constitute a waiver of such right or provision for the future.
4. Assignment
- The API Partner shall not assign, transfer, or sub-license its rights or obligations
under this Policy or the API Partner Agreement without Cashmo's prior written consent.
- Cashmo may assign its rights and obligations under this Policy to any successor entity,
affiliate, or acquirer upon written notice to the API Partner.
4. Notices
- All formal notices under this Policy shall be in writing and delivered by email to the
registered contact addresses of the respective parties.
- Notices shall be deemed received on the next working day following transmission,
provided no delivery failure notification is received.

ACKNOWLEDGEMENT
By accessing or using Cashmo API Services, the API Partner confirms that:
- It has read and fully understood this API Partner Policy.
- It has the legal authority to bind its organization to the terms of this Policy.
- It agrees to comply with all obligations set out in this Policy and the API Partner
Agreement.
- It acknowledges that unauthorized
use of Cashmo API Services may result in immediate termination and
legal action.
- It confirms that it holds all required licenses and regulatory approvals to access and
use Cashmo API Services.
- It undertakes to maintain the confidentiality and security of all API credentials and
Cashmo Confidential Information at all times.
